Agreement and eligibility
These terms are an agreement between KEHMP LLC and each authorized user of KEHMP Invoice Automation. By accessing the application, you agree to these terms. The application is limited to KEHMP LLC personnel and other users expressly authorized by KEHMP LLC for legitimate business purposes.
Limited license
KEHMP LLC grants authorized users a limited, revocable, nonexclusive, nontransferable license to use the application for KEHMP LLC invoice preparation, review, and accounting operations. No ownership rights are transferred.
Accounts and acceptable use
- Keep credentials confidential and use only the account assigned to you.
- Do not bypass access controls, probe the service, introduce harmful code, or interfere with operation.
- Do not access or use data beyond your authorization.
- Do not copy, resell, sublicense, reverse engineer, or commercially exploit the application except where law does not permit that restriction.
- Promptly report suspected unauthorized access or inaccurate accounting activity.
QuickBooks connection
An authorized administrator may connect a QuickBooks Online company through Intuit OAuth 2.0. Users must have authority to grant that access. The application may read permitted accounting records and create invoices only after the application's review and approval requirements are satisfied. QuickBooks access may be revoked through the application or Intuit.
Review and accounting responsibility
Authorized users are responsible for checking customer selection, purchase orders, service descriptions, quantities, rates, totals, dates, and other invoice details before approving creation. Validation features reduce errors but do not replace human review, professional accounting judgment, or legal and tax advice. KEHMP LLC remains responsible for its accounting records and compliance obligations.
Third-party services
The application depends on services provided by Intuit, Supabase, Vercel, and other infrastructure providers. Their own agreements and availability may apply. KEHMP LLC does not control third-party services and is not responsible for interruptions or changes caused by them.
Ownership and feedback
KEHMP LLC and its licensors retain all rights in the application, excluding third-party services and user-provided business data. Feedback may be used to improve the application without restriction or compensation.
Availability and disclaimer
The application is provided on an "as is" and "as available" basis to the maximum extent permitted by law. KEHMP LLC disclaims implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. We do not guarantee uninterrupted operation or that every error will be detected.
Limitation of liability
To the maximum extent permitted by law, KEHMP LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity arising from use of the application. This limitation does not apply where prohibited by law.
Suspension and termination
KEHMP LLC may suspend or terminate access at any time, including when a user leaves the organization, no longer needs access, or violates these terms. Sections that by their nature should survive termination will remain in effect.
Governing law and changes
Ohio law governs these terms, without regard to conflict-of-law principles. We may update these terms as the application or legal requirements change. Continued use after updated terms take effect constitutes acceptance.
